TERMS OF SERVICE
Effective Date: September 22, 2026 | Last Updated: September 22, 2026
These Terms of Service ("Terms") govern access to and use of the Black Bolt websites, applications, software, integrations, features, documentation, and related services (collectively, the "Services"). The Services are provided by Black Bolt USA LLC, a Texas limited liability company ("Black Bolt," "we," "us," or "our").
By creating an account, clicking an acceptance control, signing an order form, purchasing a subscription, or using the Services, you agree to these Terms and acknowledge the Black Bolt Privacy Policy. If you use the Services for a company, you represent that you are authorized to bind that company, and "you" means both you and that company. If you do not agree, do not use the Services.
1. Eligibility and business use
You must be at least 18 years old and legally able to enter a contract. The Services are intended for businesses and professionals, not for personal, family, or household use. You may use the Services only for lawful internal business purposes and only within the scope of your subscription.
The Services are offered from the United States and are intended for use in the United States. We do not represent that the Services are appropriate or available in other locations, and you are responsible for compliance with local law if you access them elsewhere.
2. The Services
Black Bolt provides workflow and decision-support tools primarily for roofing contractors and related construction professionals. Features may include claim-document ingestion; PDF and image extraction; interactive scopes; inspection and measurement imports; comparisons among claims, inspections, photographs, and measurements; estimating; supplement preparation; materials and labor calculations; supplier and subcontractor pricing; orders; homeowner proposals; packages and upgrades; job-document storage; and third-party integrations.
We may add, modify, suspend, or discontinue features. Availability may depend on your subscription tier, your location, third-party services, or technical requirements. We will not materially decrease the core functionality of a paid subscription during a paid period without notice and, where the decrease is material, an opportunity to cancel and receive a prorated refund of prepaid fees for the unused portion.
3. Software assistance only
Black Bolt provides software assistance and does not provide legal, insurance, public-adjusting, engineering, architectural, accounting, tax, code-compliance, or other professional advice. Black Bolt is not an insurer, public insurance adjuster, contractor, engineer, attorney, estimator of record, building official, or agent for any party to an insurance claim or a construction contract.
Outputs are aids for your review and judgment. Use of the Services does not create a fiduciary, agency, professional, or advisory relationship between you and Black Bolt.
4. Your responsibility for review
Software, automation, artificial intelligence, optical character recognition, algorithms, and third-party data can produce inaccurate, incomplete, duplicated, outdated, or unexpected results. You must independently review and verify all material outputs before relying on, submitting, ordering from, contracting from, or communicating them.
Your review must include measurements, quantities, prices, labor, waste factors, taxes, delivery, claim details, coverage assumptions, building-code references, product specifications, estimates, supplements, proposals, orders, photographs, and supporting documents. You are solely responsible for project decisions and for representations you make to customers, insurers, suppliers, subcontractors, regulators, and other parties.
5. Insurance claims and supplements
Features may compare claim documents with inspections, measurements, photographs, estimates, or other information and may flag possible differences or missing items. A flag is not a coverage opinion and is not a determination that an insurer owes payment.
Black Bolt does not guarantee coverage, supplement approval, pricing acceptance, scope acceptance, code-upgrade payment, matching, depreciation recovery, or any claim outcome. You must ensure that every submission and representation is truthful, accurate, supported, authorized, and lawful.
You are responsible for complying with the laws of each state where you operate that govern contractors, insurance communications, estimating, public adjusting, solicitation, contingency agreements, and assistance with claims. Several states restrict who may prepare, negotiate, or discuss an insurance claim on a policyholder's behalf, and those restrictions apply to you, not to Black Bolt. Black Bolt does not authorize, and the Services are not licensed to support, any activity that would constitute unlicensed public adjusting or the unauthorized practice of law.
6. Measurements, estimates, and pricing
Measurements and calculations generated, imported, or displayed through the Services are estimates unless expressly stated otherwise. Pricing may come from you, your suppliers, manufacturers, third-party databases, integrations, uploaded lists, or other sources, and may not reflect current market availability or final cost.
Before ordering, contracting, or committing to a price, verify field conditions, measurements, quantities, taxes, delivery, labor, waste, product availability, and applicable code. Black Bolt is not responsible for shortages, overages, change orders, delays, price differences, or project losses caused by unverified information.
7. Orders and transactions with suppliers and subcontractors
The Services may let you assemble, price, transmit, or track orders with suppliers, distributors, manufacturers, or subcontractors. Any resulting order, quote, purchase, delivery, warranty, return, or payment obligation is solely between you and that third party. Black Bolt is not a party to it, is not a buyer, seller, broker, or agent, and makes no representation about price, availability, lead time, product suitability, or performance.
You are responsible for reviewing and confirming every order before it is sent and for resolving disputes about an order directly with the supplier or subcontractor.
8. Homeowner proposals and communications
The Services may let you create proposals, estimates, documents, or messages addressed to homeowners, property owners, or other customers of yours, and may transmit them by email, text message, or another electronic method at your direction.
You are the sender of those communications. You are solely responsible for obtaining and maintaining the consents required by law before a message is sent, including consents required by the Telephone Consumer Protection Act, the CAN-SPAM Act, state telemarketing and door-to-door solicitation laws, and any applicable do-not-call rules, and for honoring opt-out requests you receive. You are also responsible for the accuracy, completeness, and legality of the content of every proposal and communication, for any required contract disclosures, and for any right-to-cancel notice your state requires.
Black Bolt provides the transmission mechanism only and is not the sender, and does not review, approve, or endorse the content of your communications.
9. Accounts and authorized users
Provide accurate account information, protect credentials, use reasonable security controls, and promptly notify us at support@black-bolt.com of any suspected compromise. You are responsible for all activity under your account and for your employees, contractors, and other authorized users. Do not share credentials with unauthorized persons or circumvent user, usage, security, or subscription limits.
An account may have an administrator who can add and remove users, set permissions, access content in the account, and make changes that affect other users. If your account was created by or for your employer or another organization, that organization controls the account and its data.
10. Customer Data
"Customer Data" means information you or your authorized users submit to or generate in the Services, including customer and homeowner information, claim files, photographs, inspections, measurements, estimates, contracts, pricing, proposals, and project records. As between you and Black Bolt, you retain ownership of Customer Data.
You grant Black Bolt a worldwide, nonexclusive, limited license to host, copy, transmit, process, analyze, display, and otherwise use Customer Data as necessary to provide, secure, support, maintain, and improve the Services; to comply with law; and to enforce these Terms. You represent and warrant that you have all rights, permissions, notices, and consents needed for Black Bolt and its providers to process Customer Data as described in these Terms and the Privacy Policy, including any notice or consent owed to a homeowner or property owner whose information you upload.
Aggregated and deidentified data. We may create and use aggregated or deidentified data derived from use of the Services for analytics, benchmarking, security, and product development, provided that it does not identify you, your customers, or any individual and is not presented in a way that reveals your confidential business information.
Your pricing history. Claim documents uploaded to the Services contain the regional price list amounts an insurance carrier used to calculate a loss. We index those line-item amounts from the claim documents in your own account, so that when you need to supplement a line item that was not on the original claim you can see what that item was reimbursed at on your own past claims. It is a reference drawn from your own files, not a wholesale price book.
Your pricing history is yours alone. Figures shown to you come only from the claim documents in your account. We do not show your figures to any other customer, and we do not show you another customer's figures. Nothing in this feature pools pricing across customers.
What it contains, and what it does not. Each entry records a line-item code or description, the reimbursement amount, the region, the carrier where identified, and the price list date, all drawn from your own claim documents. It does not contain your costs, margins, bids, or the prices you charge your customers, and we do not extract those.
Reference information, not a guarantee. Carrier price lists vary by region, carrier, and date, and often change monthly. A figure from a past claim does not establish what any carrier will pay on your current claim, is not a coverage opinion, and is subject to Sections 4, 5, and 6. Verify current pricing against the carrier's own price list and the documents on the specific claim before you rely on it or submit a supplement.
Pooled pricing is reserved for the future. We may later offer a pricing database that draws on claim documents across customers, so that you can see what an item has been reimbursed at beyond your own history. That is not part of the Services today, and no pricing from your claim documents is shared with another customer under these Terms. If we introduce it, we will give you advance notice, describe how it works, and give you a way to decline before any of your data is included.
Comparative analytics. We may also later introduce features that let you compare your performance with that of other contractors in your area. Those features are not part of the Services today. If we introduce them, the comparisons will be aggregated and deidentified, and we will describe how they work before they launch.
11. Confidentiality and security
Each party may receive nonpublic business information of the other. The receiving party will use that information only to perform or receive the Services, will protect it using reasonable care, and will disclose it only to personnel and providers who need it and are bound by appropriate obligations, unless disclosure is required by law. The uses of Customer Data that Section 10 describes are permitted by this Section and are not a breach of it.
We use commercially reasonable administrative, technical, and physical safeguards, but no system or transmission method is completely secure. You are responsible for deciding whether the Services are suitable for the information you upload and for your own privacy, security, retention, and customer-notification duties.
If we become aware of a security incident that compromises the security, confidentiality, or integrity of your Customer Data, we will notify you without undue delay and in any event within 72 hours of confirming the incident, provide the information reasonably available to us, and take reasonable steps to mitigate it. Notice of an incident is not an admission of fault by Black Bolt.
12. Artificial intelligence and automated processing
Some features use artificial intelligence, machine learning, optical character recognition, or other automated processing. Inputs may be sent to contracted technology providers in order to produce the outputs you request. Automated outputs may be wrong, and may misinterpret documents, images, construction conditions, or pricing.
You must apply human review before relying on an automated output for any material business, contractual, construction, insurance, safety, or legal decision.
Black Bolt does not use your Customer Data to train publicly available general-purpose artificial-intelligence models, and does not permit its technology providers to do so. Provider processing remains subject to the Privacy Policy and to our contracts with those providers.
13. Third-party services and integrations
The Services may connect with photo-management, inspection, measurement, mapping, supplier, manufacturer, pricing, payment, communications, storage, or other third-party services. Your use of a third-party service is governed by that provider's own terms and policies. By enabling an integration, you authorize us to exchange data with that service as needed to perform the integration and according to the connection settings you select.
Your own third-party accounts and API keys. Some integrations work by connecting your own account with a third-party vendor, such as an aerial measurement or property-data provider. Where you supply an API key, token, or other credential for your account with that vendor, you represent that the credential is yours or your company's, that you are authorized to provide it to us, and that your agreement with that vendor permits access through Black Bolt. You are responsible for any fees, usage limits, report charges, or license restrictions that vendor applies to your account, and for complying with that vendor's terms when you use data obtained through it.
We will store your credentials using reasonable security measures and will use them only to perform the operations you request through the Services. You may revoke a credential at any time by disconnecting the integration or rotating the key with the vendor, and we will stop using it. Data already imported into your account remains subject to your account settings and to Section 22. We are not responsible for a vendor suspending or terminating your account or access, for the accuracy of the data a vendor returns, or for charges a vendor bills to you.
We do not control and are not responsible for third-party availability, accuracy, security, pricing, performance, or changes. An integration may become unavailable if a provider changes or discontinues its service or interface, and that alone is not a breach of these Terms.
14. Acceptable use
You may not use the Services to: violate law; facilitate fraud; submit false or altered claims, estimates, photographs, documents, or measurements; misrepresent work performed or materials used; infringe the rights of others; access another account without authorization; introduce harmful code; disrupt or bypass security; scrape or systematically extract data without permission; reverse engineer except where law prohibits that restriction; resell, sublicense, or provide service-bureau access without our written authorization; or use proprietary Black Bolt materials to build, train, or improve a competing product or model.
We may investigate suspected misuse and may suspend or terminate access when reasonably necessary to protect Black Bolt, its users, third parties, or the Services.
15. Subscriptions, billing, and taxes
Prices, billing intervals, user limits, usage limits, and included features for paid plans are shown at purchase or in an order form. Unless stated otherwise, subscriptions renew automatically for successive periods of the same length until canceled, and you authorize us and our payment processor to charge recurring fees and approved usage-based charges to the payment method on file.
Fees are exclusive of taxes unless stated otherwise. You are responsible for applicable sales, use, and similar taxes other than taxes based on Black Bolt's net income. We may change prices prospectively on at least 30 days notice before the change takes effect at your next renewal.
If a payment fails, we may retry the charge and may suspend access after 7 days. Undisputed amounts past due may accrue a late charge of 1.5% per month or the maximum rate permitted by law, whichever is less.
16. Automatic renewal, trials, cancellation, and refunds
Automatic renewal. Your subscription renews automatically. We will disclose the renewal price, renewal interval, and cancellation method at signup and, where required by law, will send a renewal reminder before a renewal takes effect.
Cancellation. You may cancel at any time using the account controls or by contacting support@black-bolt.com. Cancellation stops the next renewal and ordinarily takes effect at the end of the current paid period. You keep access for the remainder of that period.
Trials. Trial and promotional terms are disclosed when offered. Unless we state otherwise, a trial converts to a paid subscription at the end of the trial period unless you cancel first.
Refunds. Black Bolt does not offer refunds. Except where law requires otherwise, where an order form expressly provides otherwise, or as provided in Section 2 for a material decrease in functionality, paid fees are nonrefundable, we do not provide prorated credits for partial periods, and we do not offer a trial refund window or satisfaction guarantee.
17. Ownership and license
Black Bolt and its licensors own the Services and all associated software, interfaces, workflows, designs, databases, algorithms, documentation, trademarks, and other proprietary materials, excluding Customer Data. Subject to these Terms, we grant you a limited, nonexclusive, nontransferable, nonsublicensable, revocable right to access and use the Services for your internal business purposes during your authorized subscription. All rights not expressly granted are reserved.
18. Feedback
If you provide ideas, suggestions, or feature requests, you grant Black Bolt a perpetual, worldwide, royalty-free right to use them without restriction or compensation. This does not transfer ownership of Customer Data or of your confidential business information.
19. Copyright complaints
If you believe material on the Services infringes your copyright, send a notice containing the elements required by the Digital Millennium Copyright Act to our designated agent:
Copyright AgentBlack Bolt USA LLC
457 Laurence Drive, PMB 169
Heath, TX 75032
Telephone: 888-495-2658
Email: support@black-bolt.com
We will respond as the DMCA requires, and may remove material and terminate repeat infringers.
20. Availability, beta features, and support
We do not guarantee uninterrupted or error-free service. Maintenance, upgrades, outages, security events, and third-party failures may affect availability. Beta, preview, or experimental features are provided as is, may change or stop at any time, and may contain errors. Support channels and response targets, if any, are described in your plan or order form and are not service-level guarantees unless expressly stated in a signed agreement.
21. Suspension and termination
We may suspend or terminate access for material breach, nonpayment, unlawful use, security risk, or conduct that materially threatens Black Bolt, its users, or third parties. When reasonably practicable, we will provide notice and an opportunity to cure. You may terminate by canceling your subscription, subject to outstanding fees and to the provisions that survive termination.
22. Data export and deletion
After expiration or termination, access may be limited or discontinued. For 30 days after termination, and where technically feasible, we will make the Customer Data in your account available for export through the Services or on request. You are responsible for keeping independent copies of records you are required to retain.
After that period, we may delete Customer Data, subject to law, security needs, backup cycles, dispute preservation, and the Privacy Policy. Ordinary retention and deletion timing is described in Section 7 of the Privacy Policy.
23. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." BLACK BOLT DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES OR ANY OUTPUT WILL BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, OR ERROR-FREE.
24. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLACK BOLT AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; FOR LOST PROFITS, REVENUE, BUSINESS, DATA, OPPORTUNITY, OR GOODWILL; FOR BUSINESS INTERRUPTION; OR FOR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID BLACK BOLT FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED DOLLARS.
THE LIMITS IN THIS SECTION DO NOT APPLY TO: YOUR OBLIGATION TO PAY FEES; YOUR INDEMNIFICATION OBLIGATIONS UNDER SECTION 25; YOUR VIOLATION OF SECTION 14 OR OF BLACK BOLT'S INTELLECTUAL PROPERTY RIGHTS; OR EITHER PARTY'S FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT.
THESE LIMITS APPLY TO ALL OTHER THEORIES OF LIABILITY AND ARE AN ESSENTIAL BASIS OF THE BARGAIN. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME LIMITS MAY NOT APPLY TO YOU.
Time limit for claims. Except for claims for nonpayment and claims arising from infringement of intellectual property rights, neither party may bring an action arising out of or related to these Terms or the Services more than one year after the cause of action accrues.
25. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Black Bolt and its affiliates, members, managers, officers, employees, contractors, and representatives from third-party claims, damages, liabilities, losses, and reasonable costs arising from your misuse of the Services; your violation of these Terms or of law; Customer Data; your estimates, contracts, supplements, proposals, orders, communications, or representations; your construction or contracting activities; or your infringement of another person's rights. We may control the defense and settlement of any such claim, and you will cooperate reasonably.
26. Governing law, dispute resolution, and arbitration
Governing law. Texas law governs these Terms without regard to conflict-of-law rules.
Informal resolution first. Before filing a formal claim, each party will send the other written notice describing the dispute and the relief requested and will attempt in good faith to resolve it for 30 days. Notice to Black Bolt goes to support@black-bolt.com and 457 Laurence Drive, PMB 169, Heath, TX 75032.
Binding individual arbitration. Except for eligible small-claims matters and requests for temporary or injunctive relief involving intellectual property, confidentiality, security, or unauthorized access, disputes will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will take place in Rockwall County, Texas, unless the parties agree otherwise, and judgment on the award may be entered in any court of competent jurisdiction.
Jury and class waiver. Each party waives trial by jury. To the extent permitted by law, claims may be brought only individually and not as part of a class, collective, consolidated, private-attorney-general, or representative action. If the class waiver is held unenforceable as to a claim, that claim will proceed in court and the rest of this Section still applies to the remaining claims.
Opting out of arbitration. You may opt out of this arbitration agreement by sending written notice to support@black-bolt.com within 30 days after you first accept these Terms, identifying your account and stating that you opt out. Opting out does not affect any other part of these Terms.
Fees and court venue. Arbitration fees are allocated under the AAA rules. For any dispute not subject to arbitration, the state and federal courts serving Rockwall County, Texas have exclusive jurisdiction, and each party consents to that venue.
27. Changes to these Terms
We may update the Services and these Terms. For material changes we will give reasonable advance notice by email, in-product notice, or another appropriate method, and the change will take effect on the date stated in the notice. Continued use after that date constitutes acceptance to the extent permitted by law. If you do not agree, stop using the Services and cancel before the change takes effect.
28. Notices and electronic communications
You agree to receive account, transaction, legal, and service communications from us electronically, by email to the address on your account or by in-product notice, and you agree that electronic communications and electronic signatures satisfy any legal requirement that a communication be in writing. Notices to Black Bolt go to support@black-bolt.com, with a copy by mail to 457 Laurence Drive, PMB 169, Heath, TX 75032. Keep your contact information current.
Marketing messages are separate and optional, and you may unsubscribe from them without affecting essential service communications.
29. Publicity
We may identify you as a Black Bolt customer and use your name and logo in customer lists and marketing materials in a manner consistent with your brand guidelines. You may decline or withdraw this permission at any time by writing to support@black-bolt.com.
30. Compliance with trade laws
You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted-party list. You will not export, re-export, or make the Services available in violation of U.S. export control or sanctions laws.
31. General terms
Neither party is liable for delay or failure caused by events beyond its reasonable control. If a provision is unenforceable, the rest stays effective and that provision will be enforced to the maximum lawful extent. Failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, financing, reorganization, or sale of our business or assets. There are no third-party beneficiaries. Headings are for convenience only. The parties are independent contractors. Provisions that by their nature should survive termination will survive, including Sections 3 through 8, 10, 11, 14, 17, 18, and 22 through 31.
These Terms, the Privacy Policy, any applicable order form, and any policies expressly incorporated by reference are the entire agreement between the parties regarding the Services and supersede prior discussions. If there is a conflict, a signed enterprise agreement or order form controls over these Terms, and these Terms control over any other online material.
